Responsibilities:

This position, which reports to the Assistant Controller, is responsible for providing leadership on accounting for acquisitions and divestitures. This includes planning, coordination and active involvement in acquisition & divestiture accounting, preparing carve-out financial statements and coordinating with various internal constituencies for business combination or discontinued operation accounting. The individual will regularly interact with senior financial management, external consultants, external auditors, as well as advisors and operating management at domestic and international locations.

Requirement:

Key Responsibilities:

* Mergers and Acquisitions Proactive leadership of the acquisition accounting for the Company. This requires working closely with the Business Development, Tax and Treasury Departments, applicable business unit(s), and outside advisors to assess the accounting implications of proposed/consummated transactions. This includes investments in Joint Ventures, licensed Intellectual Property, revenue and royalty arrangements and other types of investments.
* Responsible for developing, modifying and maintaining the Company s policies and procedures related to accounting for acquisitions including applying US-GAAP purchase accounting rules. Ensure adequate controls are in place and adhered to.
* Ensure that the accounting related to acquisitions and divestitures is accurate and timely recorded in the Company s ledgers and consolidated financial statements. Responsible for determining opening balance sheet amounts and purchase price adjustments related to acquisitions.
* Prepare memos and position papers supporting the Company s accounting and financial reporting of acquisitions and divestitures in accordance with GAAP.
* Serve as team member on acquisition related project teams. Summarize potential and executed purchase agreements for senior management. Update accounting staff as appropriate on potential M&A activity and impact.
* Provide support and analysis related to the impact of acquisitions on earnings guidance. Update as necessary.
* Supervise the selection and work of valuation specialists.
* Coordinate work of internal TE team, valuation specialists and external auditors
* Coordination with the independent auditor on all matters related to acquisition & divestiture accounting. Respond to external auditor requests, document the Company s positions, assumptions and accounting.
* Provide accounting systems support for integrating completed acquisitions. Assist with mapping and conversion of target companies data and financial information
* Prepare all financial statement disclosures required for M&A activity including footnotes, pro-forma statements and other filing requirements.
* Divestitures Prepare carve-out financial statements and provide strong leadership for all processes related to divestiture accounting (assets held for sale, discontinued operations). This requires coordinating with the Corporate Accounting, Business Development, Tax and Treasury departments, and applicable business units at domestic and international locations.
* Assist in the preparation of carve-out financial statements of entities being divested.
* Maintain books and records of remaining assets and liabilities of divested businesses. Develop and refine closing and reporting processes. Prepare management reports including variances to budget and forecasts.
* Provide accounting support in administering Transaction Services Agreements, including billings, analysis, and receivables.
* Prepare budgets and forecasts for remaining liabilities and expenses of divested entities. This will include working with other departments (e.g. legal).
* IFRS Serve as project team member on conversion to IFRS as it relates to mergers, acquisitions and divestitures.
* Monitor changes contemplated by the IASB and FASB. Update policies and procedures as required.
* Educate management, accounting staff, business development and others as necessary on changes in accounting and impact on TE.
* IFRS work will also entail working in areas not related to M&A accounting. Assist with documenting systems and process flows. Prepare analysis of differences and impact of IFRS as compared to US-GAAP. Coordinate work of consultants and business unit accounting staff.
* Assist with other projects projects, as required. The work in M&A can be cyclical depending on the M&A pipeline and other requirements of the department.
* Assist with analysis around the company s policies and procedures. Prepare analysis of various policies and procedures alternatives.
* Assist with the review of the company s internal control environment and SOX testing.
* Assist with other ad-hoc projects.

Qualifications:

Education: B.S. or MBA in accounting, CPA required.

The successful candidate will have a minimum of 10 years related or applicable experience including acquisitions/divestitures, accounting, knowledge of and experience with consolidation (preferably Hyperion) and ERP (preferably SAP) systems, and demonstrated successful project leadership experience. Experience with international operations is preferred.
